These Terms govern your access to and use of the InOrbit X website, digital platforms, embedded operations, and technology consulting services.

011. Introduction

Welcome to InOrbit X.

These Terms of Service (“Terms”) govern access to and use of the InOrbit X website and, where expressly applicable, digital services made available by InOrbit X.

By accessing or using our website or applicable services, you agree to these Terms. If you do not agree with these Terms, you should not use the relevant website or service.

InOrbit X is a technology, embedded operations and strategic consulting company providing solutions that may include:

Insurance technology solutions
Healthcare technology solutions
Financial technology solutions
Artificial intelligence and automation
Digital transformation
Data analytics and business intelligence
Enterprise system integrations
Embedded operational services
Business process solutions
Product and portfolio consulting
Strategic advisory services

Specific products and services may be governed by separate agreements entered into between InOrbit X and its clients or business partners.

044. Technology Platform Role

InOrbit X may provide technology that facilitates interactions between insurers, brokers, third-party administrators, healthcare providers, customers, businesses and other participants.

Unless expressly stated otherwise in a specific agreement, InOrbit X acts as a technology and/or service provider and does not itself assume insurance risk or act as the insurer.

Insurance products, coverage, premiums, underwriting decisions, policy terms, claims decisions and related obligations remain subject to the applicable insurer’s terms, regulatory requirements and contractual arrangements.

055. Embedded Operations

InOrbit X may provide embedded operational services to clients, including underwriting support, policy administration, claims support, customer service, portfolio management, business process management and related activities.

The precise authority, responsibilities and decision-making rights of InOrbit X will be determined by the applicable agreement with the relevant client.

Where regulatory approval or authorization is required for a particular decision or activity, the relevant authorized entity remains responsible unless otherwise permitted by applicable law.

066. User Accounts

Certain InOrbit X platforms may require registered user accounts. Users are responsible for:

  • Providing accurate and truthful information;
  • Maintaining confidentiality of their credentials;
  • Protecting passwords and multi-factor authentication mechanisms;
  • Restricting unauthorized access to their accounts; and
  • Promptly reporting suspected unauthorized activity.

Users must not share credentials with unauthorized individuals. Activities conducted through an authenticated account may be attributed to that account subject to applicable security investigation and contractual arrangements.

077. Acceptable Use

Users must NOT:

Access systems without authorization
Attempt to bypass or tamper with security controls
Introduce malware, viruses, or malicious code
Interfere with system availability, network throughput or platform performance
Scrape, harvest or extract information without authorization
Use the services for fraudulent, deceptive or unlawful purposes
Misrepresent identity, credentials or institutional authority
Upload information they are not authorized to process or disclose
Attempt to reverse engineer protected technology except where expressly permitted by law
Use InOrbit X systems in violation of applicable laws or contractual obligations

InOrbit X may suspend or restrict access where reasonably necessary to protect users, clients, systems or information.

088. Intellectual Property

Unless otherwise stated, the InOrbit X website, software, platforms, designs, workflows, interfaces, documentation, databases, algorithms, technology, trademarks, logos, branding and related intellectual property are owned by or licensed to InOrbit X.

No ownership rights are transferred to users merely through access to the website or services.

Users may not reproduce, modify, distribute, commercialize or create derivative works from InOrbit X intellectual property without appropriate authorization. “InOrbit X”, its logo and associated branding constitute protected trademarks.

099. Client and User Data

Ownership and permitted use of information submitted through client platforms will be governed by the applicable service agreement and data-processing arrangements.

InOrbit X may process such information to the extent necessary to provide, secure, maintain and improve the contracted services, subject to applicable law and contractual restrictions.

InOrbit X will not acquire ownership of client data merely because such information is processed through an InOrbit X platform.

1010. Artificial Intelligence

Certain InOrbit X solutions may incorporate artificial intelligence, machine learning or automated technologies.

AI-generated recommendations, predictions, classifications or analytical outputs may be used to assist authorized users but may not always be accurate or complete.

Human Oversight: Appropriate human oversight should be maintained for material business, insurance, healthcare, financial, regulatory or other high-impact decisions. Responsibility for final decisions will be determined according to applicable law and the contractual responsibilities of the relevant parties.

1111. Third-Party Services and Integrations

InOrbit X platforms may integrate with third-party systems, including:

Insurer systems
TPA systems
Healthcare networks
Regulatory systems
Payment gateways
Cloud infrastructure
Identity verification
Enterprise APIs

Availability and performance of third-party systems may be outside InOrbit X’s control. Use of third-party services may also be subject to the respective third party’s terms and policies.

1212. Service Availability

We aim to provide reliable services; however, continuous or uninterrupted availability cannot be guaranteed. Services may occasionally be unavailable due to maintenance, system upgrades, security requirements, infrastructure failures, third-party service interruptions, regulatory requirements, or events beyond reasonable control.

Specific availability commitments, where applicable, will be governed by the relevant service-level agreement (SLA).

1313. Confidentiality

Information identified as confidential or reasonably understood to be confidential must not be disclosed or used for unauthorized purposes.

Detailed confidentiality obligations between InOrbit X and its business clients or partners will be governed by the relevant contractual agreement (e.g. Non-Disclosure Agreement or Master Services Agreement).

1414. Privacy

Use of personal information is governed by the InOrbit X Privacy Policy and, where applicable, client-specific privacy notices and data-processing agreements.

1515. Cybersecurity

Users must comply with applicable security requirements when accessing InOrbit X systems.

InOrbit X reserves the right to monitor platform activity for legitimate cybersecurity, fraud-prevention, compliance and operational purposes, subject to applicable law. Suspected security incidents should be immediately reported to our security team.

1616. Disclaimer of Warranties

To the extent permitted by applicable law, the corporate website and general website content are provided on an “as is” and “as available” basis.

InOrbit X does not warrant that all information will always be error-free, complete, uninterrupted or suitable for every user’s particular purpose. Specific warranties relating to contracted technology or services will be governed by the applicable agreement.

1717. Limitation of Liability

To the maximum extent permitted by applicable law, InOrbit X will not be liable for indirect, incidental, special or consequential losses arising solely from the use of, or inability to use, the corporate website.

Liability relating to contracted services, platforms or embedded operations will be determined in accordance with the relevant commercial agreement and applicable law. Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by law.

1818. Indemnification

To the extent permitted by applicable law and relevant contractual arrangements, users may be responsible for losses arising from unlawful use of InOrbit X services, unauthorized access caused by their intentional misconduct, infringement of third-party rights, or material violation of these Terms.

1919. Suspension and Termination

InOrbit X may suspend or terminate access to a service where reasonably necessary because of:

  • Material breach of these Terms;
  • Security threats or vulnerabilities;
  • Fraudulent or unlawful activity;
  • Regulatory requirements or governmental mandates;
  • Non-payment under an applicable commercial agreement; or
  • Termination of the underlying client agreement.

Contract-specific termination provisions will prevail where applicable.

2020. Changes to Services or Terms

InOrbit X may modify its website, functionality or these Terms from time to time. Material changes will be communicated where required by applicable law or contractual arrangements.

Continued use following the effective date of updated Terms constitutes acceptance where legally permitted.

2121. Governing Law and Jurisdiction

Unless another governing law or dispute-resolution mechanism applies under a specific written agreement, these Terms shall be governed by the applicable laws of the United Arab Emirates and the laws and regulations applicable to the jurisdiction in which InOrbit X is established.

Any dispute shall be subject to the competent courts of the applicable jurisdiction in the United Arab Emirates, unless otherwise agreed in writing.

2222. Entire Agreement

For use of the corporate website, these Terms together with the Privacy Policy and any other notices expressly incorporated by reference constitute the applicable terms between the user and InOrbit X.

For contracted clients and partners, the applicable signed commercial, technology, service, confidentiality, data-processing or other agreements will prevail in the event of inconsistency.
